TERMS OF SERVICE

This website and online store are operated by BYSON ENGINEERING SDN. BHD. (“Byson”, “we”, “us”, or “our”). By accessing, browsing, or purchasing from our website and related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”), together with our Privacy Policy, Refund/Return Policy, Warranty Policy, Shipping Policy, and any other policies published on this website.

If you do not agree to these Terms, you must not use our Services. We reserve the right to refuse service, cancel orders, or terminate access at our sole discretion, with or without notice.

 

1. ELIGIBILITY & ACCOUNT

By using our Services, you confirm that you are at least 18 years old and legally capable of entering into a binding contract. You agree that all information provided is true, accurate, and complete, and that any purchases made are for lawful purposes only. If you act on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Byson reserves the right to suspend or terminate any account at any time if fraud, misuse, or breach of these Terms is suspected.

 

2. PRODUCTS & COMPATIBILITY

Byson makes reasonable efforts to ensure that product descriptions, images, and specifications are accurate; however, all images are for illustration purposes only and actual products may vary in appearance, dimensions, or packaging. Specifications may change without notice, and some products may be aftermarket, replacement-fit, or universal-fit unless expressly stated otherwise.

It is strictly the buyer’s responsibility to verify all product details before purchase, including part numbers, compatibility, dimensions, and suitability for the intended application. Byson shall not be responsible for any incorrect orders resulting from buyer error, assumption, or reliance on visual similarity. We reserve the right to modify, substitute, or discontinue any product at any time without prior notice.

 

3. TECHNICAL USE DISCLAIMER

Products sold by Byson are intended for industrial, agricultural, and technical use. Installation, handling, and operation must be carried out by qualified or competent persons. The buyer assumes full responsibility for the selection, installation, and use of all products.

Byson does not provide engineering certification, professional advice, or suitability guarantees unless expressly confirmed in writing. Any information provided is general in nature and relied upon entirely at the buyer’s own risk.

 

4. ORDERS & ACCEPTANCE

All orders submitted to Byson constitute an offer to purchase and are subject to our acceptance. An order is only confirmed once payment has been received and we have issued confirmation through invoice, shipment notice, or written acceptance. We reserve the right to reject or cancel any order, limit quantities, or request additional verification at our sole discretion.

All orders are subject to stock availability. Products listed as available may still be out of stock, delayed, or discontinued. Byson shall not be liable for any delay, unavailability, or resulting loss.

Once an order has been confirmed, processed, customized, or dispatched, it cannot be cancelled or amended unless approved in writing by Byson. Any approved cancellation may be subject to applicable fees and charges, and Byson shall not be responsible for any resulting costs or losses.

 

5. PRICING & PAYMENT

All prices are subject to change without notice and are exclusive of shipping, taxes, duties, and additional charges unless otherwise stated. Byson reserves the right to correct any pricing or listing errors at any time, including after an order has been placed, and may cancel or revise such orders with a refund as the sole remedy.

Full payment must be received prior to shipment or collection unless otherwise agreed in writing. Byson may suspend or cancel any order where payment is incomplete, disputed, or flagged as suspicious.

 

6. SHIPPING, DELIVERY & RISK

Any delivery timelines or estimates provided are approximate and not guaranteed. Byson shall not be liable for delays caused by courier services, customs, suppliers, or events beyond our control.

Risk of loss or damage passes to the buyer once the goods are collected, handed to a courier, or made available for collection. The buyer must inspect all goods immediately upon receipt and report any issues, including damage, shortages, or incorrect items, within 48 hours with sufficient evidence. Failure to do so may result in the claim being rejected.

 

7. RETURNS & REFUNDS

All returns and refunds are subject to Byson’s approval and applicable policies. Unless a product is proven to have been supplied incorrectly by Byson or is defective under an applicable written warranty, all sales are final.

Certain items, including special orders, custom-made products, electrical components, installed or used items, and incorrectly purchased goods, are strictly non-returnable. Approved returns may be subject to inspection, restocking fees, and associated handling costs, which shall be borne by the buyer.

 

8. WARRANTY

Unless expressly stated in writing, all products are sold without warranty. Any warranty provided by Byson is limited to repair, replacement, or store credit at our sole discretion and applies only to the original purchaser.

Warranty does not cover wear and tear, misuse, improper installation, modification, or use with incompatible equipment. Byson does not guarantee that any product is suitable for a specific purpose unless confirmed in writing.

 

9. USE & LIABILITY

All products are supplied for commercial and industrial use at the buyer’s own risk. Byson shall not be liable for any loss, damage, or claims arising from installation, misuse, equipment failure, downtime, or third-party use. This includes, without limitation, loss of profit, production delays, labour costs, or business interruption.

 

10. INTELLECTUAL PROPERTY

All content on this website, including product listings, images, branding, and materials, is owned by or licensed to Byson and protected by applicable laws. No content may be copied, reproduced, or used without prior written consent. Product images and marketing materials are for reference only and do not constitute exact representations.

 

11. USER SUBMISSIONS

Any feedback, reviews, or content submitted to Byson may be used, reproduced, and published for commercial purposes without compensation. Byson reserves the right to remove or edit any content at its discretion.

 

12. THIRD-PARTY SERVICES

Our Services may involve third-party platforms, including payment gateways, couriers, and e-commerce systems. Byson is not responsible for their performance, policies, or security, and use of such services is at the user’s own risk.

 

13. PROHIBITED USE

You agree not to use the Services for any unlawful or abusive purpose, including submitting false orders, interfering with systems, copying data, or introducing harmful content. Byson reserves the right to restrict or terminate access without notice.

 

14. DISCLAIMER

To the fullest extent permitted by law, all products and Services are provided on an “as is”, “as available”, and “with all faults” basis. Byson disclaims all warranties, whether express or implied, including fitness for purpose, merchantability, and performance. No statement or advice provided by Byson shall be considered legally binding.

 

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Byson shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, business, production, or downtime, even if advised of such risks. Where liability cannot be excluded, Byson’s total liability shall not exceed the purchase price of the product.

Any claim must be made within 48 hours for delivery-related issues or within the applicable warranty period, failing which the claim shall be deemed waived.

 

16. INDEMNITY

You agree to indemnify and hold harmless Byson from any claims, damages, or liabilities arising from your use, installation, resale, or misuse of products, or from any breach of these Terms.

 

17. FORCE MAJEURE

Byson shall not be liable for any delay or failure to perform due to events beyond our control, including but not limited to natural disasters, supply disruptions, or government actions.

 

18. TERMINATION

Byson may suspend or terminate access to the Services or cancel any order at any time without notice if a breach or risk is identified. Such termination shall not affect any existing obligations or liabilities.

 

19. GOVERNING LAW

These Terms shall be governed by the laws of Malaysia. Any disputes shall be subject to the jurisdiction of the courts of Malaysia.

20. GENERAL

Failure to enforce any provision shall not constitute a waiver of rights. If any provision is deemed invalid, the remaining provisions shall remain in effect. These Terms constitute the entire agreement between you and Byson, and no verbal statements shall override them unless confirmed in writing.

21. CHANGES TO TERMS

Byson reserves the right to update or modify these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
